The offered release candidate is version 0.1.0-rc.1, delivered as a Downloadable ZIP with offline HTML and JSON report. Its first input scope is EAGLE 9.6.2 XML .brd paired with KiCad 10.0 .kicad_pcb (validated with 10.0.6). Unsupported or ambiguous areas must be shown as NOT CHECKED.

Supported PCB design contents must be processed on the purchaser’s device. The product must not upload EAGLE or KiCad contents to BoardPort. Order and payment providers may process ordinary transaction information only after sales open.

Output is limited to defined comparisons. It does not certify circuit correctness, electrical safety, regulatory compliance, ERC/DRC, Gerber identity, reliability, or manufacturability. The purchaser remains responsible for design review and manufacturing decisions.

The 21-day buyer target is an internal continuation metric. Every buyer must receive the already-existing product immediately. Market target performance is not a condition for building or delivering the purchased product.

The selected purchaser boundary is one legal entity or one sole proprietor buying for an actual business purpose. Personal, household, and ambiguous-purpose purchases are excluded before payment. The owner-approved paid-test scope covers that same operator's officers, employees, and contractors using the exact purchased version perpetually on any number of devices the operator owns, leases, or controls. Affiliates, subsidiaries, clients, and other businesses are excluded. The operator may use BoardPort internally for its own client work and share authorized generated reports, but clients may not receive or directly access the product. Transfer, sublicense, resale, redistribution, publication, hosted, SaaS, managed-service, and service-bureau access are prohibited. Later versions, updates, maintenance, custom work, BoardPort consulting, and live support are not included. This scope bundle is an approved part of the fixed license. Reading it alone does not grant a license; a qualifying purchase and verified payment are required.

## Parties and acceptance
This agreement is between the licensor identified by the seller record and the
one purchasing business operator named by the purchaser. That operator may be a
legal entity or a sole proprietor buying for an actual business purpose. For a
sole proprietor, the individual purchaser is the customer even when a trade name
is used. The individual accepting represents that the purchase is not for
personal or household use and that they have authority to act for the customer.
Acceptance must be affirmative and recorded against this exact contract version.

## Licensed product and supported environment
The licensed product is the exact BoardPort Audit version and SHA-256 identified
at checkout and in the delivery record. Supported input profiles, operating
system, browser, file-size limits, execution limit, and implemented checks are
only those documented for that version.

## License grant
After payment, the customer receives a non-exclusive, non-transferable,
non-sublicensable, perpetual license for the purchased version. Officers,
employees, and contractors acting for the customer may use it on any number of
devices owned, leased, or controlled by the customer, solely for the customer's
work and under the customer's responsibility. Affiliates, subsidiaries,
clients, and other independent business operators are not covered. Reasonable
backup copies may be made when all notices are retained.

## Restrictions
The customer may not resell, redistribute, sublicense, rent, publish, or provide
the product or access to an affiliate, subsidiary, client, or other independent
business operator. The customer may not operate it as a hosted service,
software-as-a-service offering, service bureau, managed service, or similar
direct-access offering for third parties. The customer may use the product
internally while performing its own consulting or contract work and may share
lawfully generated reports when authorized to share the underlying information;
report recipients may not receive or directly access the product. Restrictions
do not override rights that applicable law makes non-waivable.

## Customer files and confidentiality boundary
BoardPort claims no ownership of customer PCB files or generated reports. The
documented product processes supported design-file contents on the customer's
device and does not send those contents to BoardPort. Transaction and support
providers may process ordinary operational data under the approved privacy
notice. The customer remains responsible for its files, reports, and downloads.

## Output limitations
The software reports only its documented comparisons and may return NOT_CHECKED.
It is not an electrical, safety, regulatory, ERC, DRC, manufacturing, Gerber,
reliability, or design certification. The customer remains responsible for all
engineering and manufacturing decisions and must not rely on the report as the
sole basis for a safety-critical decision.

## Delivery, updates, and support
The purchased version is delivered electronically at the time stated before
checkout. Later versions, updates, maintenance, custom work, consulting from
BoardPort, and live support are excluded unless an approved offer expressly
includes them. Product and transaction support use support@signalandship.com with an
operational response target within 48 hours. The BoardPort operator,
trading as Signal & Ship, is the seller and licensor. Stripe processes payments
and is not the seller of this product.

## Refunds
A full refund may be requested through the stated support channel within
14 calendar days after delivery, subject to rights that cannot be
excluded. A valid request identifies the order and permits reasonable purchaser
verification; no substantive reason is required. BoardPort starts the refund to
the original payment method within 2 business days after
receiving the valid request. Provider and financial-institution posting time is
separate and must be stated before checkout.
A full refund or final chargeback ends the license and future re-download access;
the customer must stop use and delete local copies. The offline product has no
remote deletion mechanism.

## Ownership and notices
BoardPort and its licensors retain rights not expressly granted. The customer
artifact must include the notices identified by its manifest. Compatibility
references identify third-party formats only and do not imply affiliation with
or endorsement by Autodesk or the KiCad project.

## Warranty
The limited warranty covers material performance of documented checks in the
documented supported environment. Available remedies are reasonable correction,
replacement, or refund. Aggregate liability is limited according to the exact
liability-cap decision recorded above, except where Japan or other
applicable law does not permit the parties to limit liability.

## Termination
The license continues unless a material breach remains uncured after reasonable
notice, or immediate action is reasonably necessary for unlawful distribution
or infringement. After termination, use must stop and copies must be deleted.
Provisions that by their nature should survive continue to apply.

## Governing law
Japan governs and Tokyo District Court is the agreed court of first instance.
English is the controlling language. Mandatory law prevails
wherever it cannot be varied by agreement.
