The full English license follows. English controls to the extent permitted by applicable law, and mandatory language requirements prevail. This page does not replace the license for an earlier order or a Japan-offer purchase.

# BoardPort Audit — International Business License Contract version: boardport-audit-international-business-license-v3. Prepared 3 September 2026. This version takes effect for an order only when it is presented and accepted in the international purchase flow. It does not replace a license for an earlier order. ## 1. Parties and purchase The licensor is the BoardPort operator trading as Signal & Ship, identified by the seller disclosure associated with the offer. Contact: support@signalandship.com. The customer is the single business operator identified in the order: either a legal entity or a sole proprietor purchasing for an actual business purpose. The person accepting must have authority to act for that customer. Personal or household purchases are outside this offer. For an eligible international purchase, the merchant of record is the Link entity identified at checkout and on the receipt, with the transaction described as “Sold through Link.” Link's payment terms govern the payment transaction. This license governs use of BoardPort's software. BoardPort is responsible for licensing, electronic delivery and product support. The terms do not exclude any obligations that applicable law places on either party. This offer covers businesses in the United States, United Kingdom and Australia. The business location and billing country must agree and must be supported at purchase. Choosing a website language does not change eligibility or the payment currency. ## 2. Product, price and delivery The offer is one perpetual license to the purchased version of BoardPort Audit, for one business operator, paid once with no subscription. The base price is US$79 excluding applicable taxes. Checkout shows any tax, available payment methods, payment currency and the final total before payment. Local-currency prices may include currency conversion charges. The customer's payment provider may charge its own fees. No fixed local-currency amount is promised by the base price. The product version, supported environment, documented checks and exact downloadable package are identified before purchase and in the order record. The purchased software is version 0.1.0-rc.1, validated on macOS 26.6.2 with Chrome 152.0.7977.66. The software and its reports are in English. The English and Japanese website text does not imply that the software is translated or that other operating systems have been validated. After the provider confirms a successful eligible payment, the purchase-completion page provides the download. A pending payment is not payment confirmation. If access is missing, contact product support using the order reference. Keep a backup of the purchased files; a perpetual software license is not a promise of permanent hosting. Future versions, upgrades, ongoing maintenance and custom work are not included. ## 3. Permission to use BoardPort grants the customer a non-exclusive, non-transferable and non-sublicensable license to use the purchased version for the customer's business. The customer's officers, employees and contractors acting for it may use the product on any number of devices owned, leased or controlled by the customer. The customer remains responsible for their use. Reasonable backup copies are permitted with notices intact. The license covers one business operator. Separate affiliates, subsidiaries, clients and other independent operators need their own licenses. The customer may use the software internally for its own client work and share resulting reports when it has authority to disclose the underlying information. A report recipient does not receive rights to the software. ## 4. Restrictions and ownership Do not resell, redistribute, sublicense, rent, publish or provide the software or direct access to a separate operator. Do not offer it as a hosted service, SaaS, service bureau or similar service giving third parties access to the product. These restrictions do not override rights that applicable law makes non-waivable. BoardPort and its licensors retain rights not expressly granted. Preserve the included third-party notices. References to EAGLE, Autodesk and KiCad identify compatible formats and do not imply endorsement or affiliation. ## 5. Files, outputs and limitations BoardPort claims no ownership of the customer's design files or generated reports. The documented offline product processes supported files on the customer's device without sending their contents to BoardPort. Website, payment, download-authorization and support information is handled separately under the privacy notice. The customer is responsible for permission to process and disclose its files. Reports cover only the documented comparisons and can include PASS, DIFF and NOT CHECKED. They are not electrical, safety, regulatory, ERC, DRC, manufacturing, Gerber, reliability or design certification. The customer remains responsible for engineering and manufacturing decisions. Do not use a report as the sole basis for a safety-critical decision. ## 6. Product support Email support@signalandship.com in English or Japanese for access, installation, licensing and documented product issues. BoardPort aims to provide an initial response within 48 hours; this is not a promise to resolve every issue within 48 hours. Calls, meetings, design review, file migration, individual engineering work and consulting from BoardPort are not included. Describe the version and problem without sending PCB files, confidential reports, passwords or card details. For payment receipts and transaction issues, use the Link support route shown at checkout or on the receipt. BoardPort can help route requests and remains responsible for its product. ## 7. Refunds Provision starts when the purchased file first becomes available to download, whether or not the customer downloads or opens it. After provision starts, refunds for the customer's convenience, including a change of mind or mistaken purchase, are generally unavailable. Refunds remain available for non-delivery, duplicate charges, material failures of documented functions in the supported environment that cannot be resolved by reasonable correction or re-provision, and cases required by applicable law or the applicable payment service. BoardPort will assess the reported problem and provide correction or re-provision where appropriate. This does not require the customer to accept correction first when applicable law or payment-service rules provide a different remedy. If a payment is accepted from outside the eligible sales countries, the product is not provided and the payment is handled for refund; the customer-convenience restriction does not remove this handling. Contact support@signalandship.com with the order reference, enough information to verify the purchaser, and a description of the issue. Please contact us promptly, preferably within 14 calendar days after provision starts. This is a contact target, not a refund deadline, and does not shorten rights under law or the applicable payment service. If the product has not been provided, that contact target has not begun. Once a valid refund has been determined, BoardPort initiates or submits the refund to the payment provider within two business days. For this target, business days exclude Saturdays, Sundays and Japanese public holidays. A full refund includes collected tax and returns the transaction amount to the original payment method in the payment currency. BoardPort charges no cancellation fee. Bank posting time is separate, commonly about five to ten business days, and can vary. BoardPort follows up on pending or failed refunds rather than treating an initiated refund as completed. Applicable law and the applicable payment service's refund rules take precedence where they require a refund. Link may separately consider refunds under its own policy, including specified cases within 60 days of the transaction; this is not an unconditional 60-day change-of-mind promise from BoardPort. A completed full refund of the licensed purchase or final chargeback ends the license and future download access. The customer must stop using and delete its local copies; BoardPort cannot remotely erase offline copies. Refunding only an extra duplicate charge does not end a separately valid, fully paid license. Access can be temporarily suspended while a disputed payment or refund is investigated. A failed refund does not itself establish that a full refund was completed. Earlier purchases retain their purchase-time refund conditions, including any applicable 14-day no-reason refund policy. ## 8. Legal guarantees and liability Nothing in this license excludes, restricts or modifies guarantees, remedies or liabilities that applicable law does not allow the parties to exclude, restrict or modify. This includes applicable Australian Consumer Law rights. A purchase for business use does not by itself remove those rights. Such rights can continue beyond the suggested contact period and can provide remedies beyond a refund of the purchase price. Subject to those rights, BoardPort's aggregate liability arising from the licensed version is limited to the amount paid for it. This limit does not apply to fraud, wilful misconduct or any liability that cannot lawfully be limited. Statements about documented capabilities remain subject to applicable law; this clause does not authorize misleading product claims. ## 9. Ending the license The license continues for the purchased version unless it ends under the refund provision or because a material breach remains uncured after reasonable notice. Immediate action may be taken when reasonably necessary to address unlawful distribution or infringement. On termination the customer must stop use and delete copies. Provisions that naturally need to survive termination continue to apply, including accrued rights and non-waivable protections. ## 10. Governing law and language Japanese law governs this software license. The parties agree to the Tokyo District Court as the court of first instance only to the extent that applicable mandatory law permits that agreement. This does not remove a customer's non-waivable local rights, remedies or access to a competent court. Link's transaction terms have their own provisions and are not replaced by this license. The English version controls to the extent permitted by applicable law. The Japanese version is provided so the customer can review the same terms in Japanese. Mandatory language requirements prevail. Changes to later offers do not retrospectively replace the license accepted for an earlier order.
